Generative Assistants, Inc. platform Terms of Use

1. Acceptance of Terms
By accessing or using the platform ("Platform") provided by Generative Assistants, Inc. ("Genai"), you ("User") agree to be bound by these Terms of Use ("Terms"). If you do not agree with these Terms, you must not access or use the Platform. These Terms are governed by Delaware law. Users cannot assign these Terms without Genai’s written approval. Amendments to these Terms will be communicated by Genai. By accessing or using the Platform, you agree to these Terms and conditions herein. Continued use of the Platform indicates ongoing agreement with any updated Terms.

2. Definitions
- Platform: Refers to the online services and products provided by Genai, including but not limited to Sentius AI Agents and Sentius Studio.
- User: Any individual or entity accessing or using the Platform.
- Content: All information, documentation, updates, and materials provided by Genai through the Platform.
- User Data: Information submitted by Users in the course of using the Platform.

3. License and Use
Genai grants Users a non-exclusive, non-transferable, limited license to access and use the Platform solely for internal business purposes, subject to compliance with these Terms.

4. User Responsibilities
Users shall:
- Comply with all applicable laws and regulations.
- Protect login credentials and immediately report unauthorized access.
- Not misuse the Platform for illegal activities, distribution of harmful materials, or attempts to compromise security.
- Not modify, reverse-engineer, or exploit the Platform beyond intended use.

5. Restrictions
Users may not:
- Sublicense, resell, or commercially exploit the Platform.
- Access the Platform to build competitive products or copy its features.
- Share user licenses among multiple users concurrently.

6. Intellectual Property
All intellectual property rights in the Platform and associated content remain exclusively with Genai. These Terms grant Users no ownership rights in any Genai intellectual property.

7. User Data
- Users retain all rights to their data.
- Genai processes User Data solely for providing Platform services.
- Genai implements commercially reasonable security measures to protect User Data.

‍8. Confidentiality
‍Both Genai and Users agree to protect each other's confidential information with at least the same care used for their own confidential information, and not to disclose such information without explicit consent.

‍9. Fees and Payment
- Users agree to pay fees as detailed in the associated subscription or service agreement.
- All fees are exclusive of applicable taxes.
- Late payments may incur additional charges.

‍10. Termination
Genai may terminate access to the Platform upon:
- Non-payment of fees.
- Breach of these Terms. Users may terminate usage in accordance with their subscription agreement. Upon termination, access to User Data will be available for a limited time.

‍11. Indemnification
Users agree to indemnify Genai from claims, damages, or liabilities arising from improper use of the Platform, User Data infringement, or breach of these Terms.

‍12. Limitation of Liability
‍ Neither party shall be liable for indirect, incidental, or consequential damages arising from Platform use. Genai’s total liability shall not exceed the amount paid by Users under their subscription.

13. Dispute Resolution
Any disputes will first be addressed through negotiation. Unresolved disputes shall proceed to binding arbitration conducted through an agreed arbitration service. Class actions are not permitted.

‍14. Compliance and Export Controls Users must comply with all applicable export control laws and regulations.

‍15. General
- These Terms are governed by Delaware law.
- Users cannot assign these Terms without Genai’s written approval.
- Amendments to these Terms will be communicated by Genai.
